1. License Grant

Subject to the terms and conditions of this EULA, SolvXYZ grants you a limited, non-exclusive, non-transferable, revocable license to use the digital product(s) purchased from SolvXYZ strictly in accordance with the terms of this agreement.

Important

This is a license agreement, not a sale. You do not own the product. You own only the right to use it according to this license.

2. License Types

Different products may be licensed under different terms. The license type for your product is specified at purchase and on your download page.

Personal Use License

Permitted:

  • Use by a single individual for personal, non-commercial purposes
  • Installation on personal devices (computer, tablet, phone)
  • Backup and archival copies

Not Permitted:

  • Commercial or business use
  • Sharing with other users or organizations
  • Redistribution or resale
Commercial License

Permitted:

  • Use by a single business entity for commercial purposes
  • Use in business operations, projects, and deliverables
  • Client deliverables (as end-product embedded)

Not Permitted:

  • Resale or relicensing to third parties
  • Use by multiple organizations without separate licenses
  • Providing access to non-employees
Team / Enterprise License

Permitted:

  • Use by specified number of users within your organization
  • Sharing across your team or department
  • Internal business use and collaboration

User Limit: License specifies maximum concurrent/total users. Exceeding this limit requires additional licenses.

3. Restrictions

You MAY NOT
  • Redistribute or Resell - Share, sell, rent, or transfer the license to others
  • Reverse Engineer - Decompile, disassemble, or attempt to derive source code
  • Modify or Adapt - Alter, translate, or create derivative works without permission
  • Circumvent Protection - Remove or bypass copy protection, licensing controls, or digital rights management
  • Unauthorized Sublicense - Grant rights to third parties beyond your license scope
  • Remove Copyright Notices - Delete or alter copyright, trademark, or license information
  • Concurrent Use Violation - Share login credentials or allow simultaneous use by multiple users (unless licensed)
  • Use as SaaS/Service - Offer the product as a service to others without explicit permission

4. Intellectual Property Rights

Ownership

All intellectual property rights in the product, including but not limited to copyrights, patents, trademarks, and trade secrets, are and remain the exclusive property of the original creator/vendor or SolvXYZ. This license does not transfer any ownership rights to you.

Your Content

Any content you create using this product remains your property. However, you grant SolvXYZ the right to use such content for support, improvement, and legal purposes.

Trademark Usage

You may not use our trademarks, logos, or brand names without prior written consent. Unauthorized use of intellectual property may result in legal action.

5. Warranty Disclaimer

AS-IS DISCLAIMER

THE PRODUCT IS PROVIDED "AS-IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

No Warranties

We disclaim all warranties, representations, and conditions, whether expressed or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement of third-party rights
  • Title or quiet enjoyment
  • Accuracy or completeness of content
  • Uninterrupted or error-free operation
User Responsibility

You assume all risks associated with using this product, including:

  • Data loss or corruption
  • System incompatibility or malfunction
  • Business interruption
  • Damage from viruses or malicious code

You are responsible for maintaining backups and verifying the product's suitability for your needs before use.

6. Limitation of Liability

Maximum Liability

In no event shall SolvXYZ be liable for any amount greater than the price you paid for the product.

No Consequential Damages

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Lost profits or revenue
  • Lost business opportunity or goodwill
  • Data loss
  • Business interruption
  • Personal injury or property damage

This limitation applies even if we were advised of the possibility of such damages.

7. License Termination

Automatic Termination

This license automatically terminates if you violate any provision of this agreement. Upon termination, you must:

  • Cease all use of the product
  • Delete or destroy all copies in your possession
  • Certify in writing that you have complied
Termination by Licensor

SolvXYZ may terminate this license immediately upon notice if:

  • You breach any term of this agreement
  • You engage in unauthorized use or redistribution
  • You attempt to circumvent licensing protections
  • You use the product illegally or unethically
Survival

The following sections survive termination: Intellectual Property Rights, Warranty Disclaimer, Limitation of Liability, and Governing Law.

Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement regarding your use of our digital products. If any provision is found invalid, the remaining provisions continue in effect.
